FORMING A COMPANY

When choosing Kheystone Legal to form your company, you will receive an initial consultation to determine what type of corporate structure (S-Corporation, Limited Liability Company, etc.) is best for your specific business needs.  We will organize and incorporate the company with the State Corporation Commission, draft an Operating Agreement or Shareholders Agreement specific to the needs and structure of your company, obtain an EIN from the IRS, and file your initial Corporate Transparency Act BOI report.

MAINTAINING A COMPANY

Corporate Transparency Act BOI Report

Almost every company is required by the Corporate Transparency Act to file a Beneficial Ownership Information Report.  This fee covers Kheystone Legal filing the initial report for your company.  Any time any information for the company or any beneficial owner changes, the BOI Report for your company will need to be amended.

Registered Agent

Every company is required by Virginia law to appoint a registered agent who will accept service of process and other documents such as correspondence from the State Corporation Commission.  As the registered agent, Kheystone Legal will simply accept and forward this documentation to you via mail or email.  No additional legal services beyond documentation transfer is included in this package.

General Corporate Compliance

This fee includes Kheystone Legal acting as the registered agent for your company as well as an annual meeting with Timothy Bird to discuss the needs of your company and any changes the company has experienced during the year or expects in the upcoming year.  Kheystone Legal will also prepare annual meeting minutes and will ensure the company remains in full compliance and good standing with the State Corporation Commission and FinCEN by assisting with filing annual reports, transmission of annual assessment fees, and updating the company’s principal office address.

Reinstatement

If a company has become inactive due to failure to pay the annual assessment fee or file the annual report, Kheystone Legal can reinstate the company and bring the company back into compliance and good standing with the State Corporation Commission.

Fictitious Name/Name Change

Should you wish to operate your company under a fictitious name, also known as a “doing business as” or “DBA,” or should you need to change the name of your company from its original title, Kheystone Legal can file the needed documents to accomplish this for your company.

Leases

Kheystone Legal can review the lease for the property housing your business or draft the lease to help your company effectively rent its landholdings. 

Contract Drafting/Review

Contracts are the life blood of any successful company.  Having a properly drafted contract for your company’s services, or making sure the contracts provided by your vendors or suppliers are fair to your company is a must.  Kheystone Legal can meet all your company’s needs in drafting effective contracts for your company, or ensuring your company is protected when dealing with others. 

General Counsel 

In the event you should need additional counsel, such as transferring assets into or out of your company, collections, litigation and/or document review, Kheystone Legal will provide these services at an hourly rate.

TERMINATING A COMPANY

Corporate Termination/Dissolution

Should you wish to close your company, also known as winding your company up, Kheystone Legal can file the needed Articles of Dissolution for your company with the State Corporation Commission.
